Terms and Conditions
These Terms and Conditions apply to all offers, quotations, and agreements between Névan Studio (hereinafter referred to as “the Contractor”) and the Client, unless both parties have expressly agreed otherwise in writing.
1. Quotations and Acceptance
Each project begins with a quotation clearly describing the scope, timeline, and participants involved. The quotation is valid for two (2) months and is non-binding until accepted by the Client in writing (for example, by replying to the quotation email). By accepting the quotation, the Client also agrees to these Terms and Conditions.
All prices are exclusive of VAT, government levies, and additional expenses such as travel, accommodation, music licensing, or administration costs, unless otherwise stated.
Quotations do not automatically apply to future projects.
2. Additional Work
If the project scope changes in a way that exceeds the work described in the quotation, this will be considered additional work. The Contractor will inform the Client in advance and may charge reasonable additional fees.
3. Editing Process
Video Editing: To ensure efficiency and clarity, Névan Studio works with a three-version editing process for Video Editing, unless otherwise agreed in writing.
Version 1 (Rough Cut): The first version follows the script or concept and is intended for structural and narrative feedback.
Version 2 (Fine Cut): Incorporates the Client’s feedback and refines the visual and creative elements.
Version 3 (Final): Includes final adjustments and represents the completed production.
Revisions requested after Version 3 will be considered additional work and billed accordingly.
Preview links are provided via a private, password-protected Vimeo page.
Photo Editing: For photography projects, up to three rounds of edits are included. The first delivery contains a curated selection of edited images, followed by up to two rounds of refinements based on the Client’s feedback. Additional editing rounds are considered extra work and charged accordingly.
4. Travel and Accommodation
Travel expenses are charged at €0.40 per kilometer (excl. VAT). Accommodation, flights, or other travel-related costs will be discussed and agreed upon in advance.
5. Music Licensing
Névan Studio primarily works with licensed stock music. Music tracks are selected in consultation with the Client and purchased only after the Client’s approval. Each track is licensed for use in the specific video project for which it was acquired. The Client is not permitted to reuse the licensed music in other productions without obtaining a new license.
If copyrighted or commercially released music is used instead of stock music, performance rights fees must be paid to BUMA/STEMRA or a similar copyright organization. Responsibility for obtaining and paying such licenses lies with the Client.
6. Execution of Work
The Contractor will execute the project to the best of their skill, expertise, and craftsmanship.
The Contractor may engage qualified third parties when necessary.
Client feedback is welcome throughout the process, provided it is reasonable and consistent with the creative intent of the project. The Contractor reserves the right to decline suggestions that compromise artistic quality.
7. Drone Operations
The Contractor and its operators are certified to conduct drone flights in accordance with European Union Aviation Safety Agency (EASA) and Dutch Civil Aviation Authority (RDW/ILT) regulations. All drone operations are insured and executed with appropriate safety measures and within permitted airspace.
The Contractor will always assess local flight restrictions and weather conditions before operating. Flights will only be performed when legally permitted and when safe to do so.
If the Client requests aerial filming at specific locations, the Client is responsible for obtaining all necessary location permissions and ensuring that filming activities comply with any local laws or property restrictions. The Contractor cannot be held liable for penalties, damages, or delays resulting from incorrect or incomplete information provided by the Client, or from last-minute legal or regulatory changes beyond the Contractor’s control.
In the event that a planned drone operation cannot take place due to safety, weather, or regulatory reasons, both parties will consult to find a suitable alternative.
8. Copyright and Intellectual Property
All materials produced by Névan Studio—including concepts, scripts, footage, photographs, animations, and sound—are protected by copyright and remain the intellectual property of the Contractor, unless explicitly transferred in writing.
Templates, workflows, setups, camera profiles, and editing documents remain the exclusive intellectual property of the Contractor and will not be shared.
9. (raw) Footage and File Storage
Raw footage will not be made available by default. Raw footage (camera material) remains the property of the Contractor unless otherwise agreed. This copyright can, however, be transferred for a fee, but only after an agreement has been made.
Upon request, footage can be archived on a hard drive for an additional fee. The Contractor is not responsible for data loss or file corruption after delivery. If no specific storage agreement is made, the Contractor may delete or archive files at their discretion.
10. Payment
Upon acceptance of the quotation, 50% of the total project fee is due one week before the first day of shooting. The remaining 50% is due upon final delivery.
The standard payment term is 14 days from the invoice date.
If payment is not received within this term:
First reminder (after 30 days): no additional cost.
Second reminder (after 40 days): €250 administration fee plus statutory interest.
Third reminder: legal collection costs and statutory interest.
11. Ownership
The Client becomes the owner of the delivered production only after full payment has been received.
Ownership does not transfer copyright or intellectual property rights.
The Client receives the usage rights specifically agreed upon in the quotation.
12. Portfolio Use
Unless explicitly agreed otherwise, Névan Studio reserves the right to use completed works (or excerpts thereof) for its own promotional purposes, including its website, social media, and showreels.
13. Privacy, Data, and Consent
The Contractor handles all personal and business data with care and stores it securely.
Client data and recordings are never sold to third parties.
The Client is responsible for obtaining any necessary permissions or releases from individuals, locations, and brands appearing in the production. The Contractor cannot be held liable for claims resulting from the absence of such permissions.
14. Liability
The Contractor’s liability for proven direct damage is limited to the total amount stated in the quotation, or to the relevant portion of the project to which the liability relates.
The Contractor is not liable for indirect, consequential, or third-party damages.
15. Suspension and Termination
If the Client suspends or cancels the project, the Client remains liable for payment of the work completed to date.
Depending on the timing and circumstances, a percentage of the total agreed fee may still apply, as determined in consultation between both parties.
16. Force Majeure
The Contractor is not obliged to fulfill obligations that are impossible due to circumstances beyond their control (e.g., illness, natural disasters, or equipment failure).
During such periods, obligations may be suspended. The Contractor will communicate promptly with the Client to find an appropriate solution.
17. Applicable Law and Disputes
All agreements are governed by Dutch law.
Any disputes shall be submitted to the competent court in Amsterdam, the Netherlands.
18. Independent Contractors
Névan Studio is a collaborative name used by two independent freelance creators. Each project is carried out under individual business registrations. Névan Studio is not a registered legal entity but represents a creative partnership between the contractors. Both parties comply with all applicable tax and business regulations.
